Welcome to Rayrift AI, a product of Natiec Technology LLP (“we,” “our,” or “Natiec”). These Terms and Conditions (“Terms”) govern your access to and use of the Rayrift AI platform and related services (“Services”). By accessing or using our Services, you acknowledge and agree to be bound by these Terms.
1. Acceptance of terms
By creating an account, accessing our website, or using our Services, you confirm that you have read, understood, and agree to these Terms. If you are using our Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of services
Rayrift provides an artificial intelligence-powered chatbot platform that allows businesses ("Customers") to train, customise, and deploy AI chatbots on their websites, applications, or internal systems. Our Services enable Customers to upload content, documents, and website links to train chatbots that can interact with their end users.
3. Account registration and eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access or use of your account.
4. Subscription plans and billing
4.1 Plans and features
We offer multiple subscription tiers (Free Trial, Growth, and Scale) with varying features, AI chat limits, and knowledge base capabilities as described on our pricing page. All plans are billed on a monthly or annual basis unless otherwise specified.
4.2 AI Chat usage definition
One "AI Chat" is defined as a single conversation session initiated by an end user, regardless of whether the user is unique, the time period of interaction, or the number of messages exchanged within that session. Each AI Chat is counted up to a maximum of 10,000 output tokens per session.
Important clarification: A single message sent to the AI does not constitute an AI Chat. An AI Chat refers to an entire chat session, during which any number of messages can be exchanged between the end user and the AI chatbot. Additionally, any test conversations or chat sessions that you initiate from your dashboard are also counted toward your AI Chat limit. The number "99" included in each plan tier (e.g., 1099, 3099) is strategically designed to provide you with sufficient chat credits for testing, monitoring, and quality assurance purposes.
4.3 Credit rollover policy
AI Chat credits included in your monthly or yearly subscription plan do not roll over to subsequent billing periods. However, any additional AI Chat credits that you purchase separately on top of your existing plan will roll over and remain valid for a period of one (1) year from the date of purchase. These purchased credits can be used at any time as long as your account maintains an active subscription plan.
4.4 Overage and grace credits
When you exceed your plan's AI chat limit, we will automatically add 100 additional chat credits to your account as a courtesy buffer. During this grace period, we will attempt to contact you and process payment to reactivate or upgrade your plan. If payment is not received and your plan cannot be reactivated, your subscription will be cancelled and your AI chatbot will cease responding to queries. These 100 grace credits are voluntary and will be deducted from your account balance upon successful reactivation of your plan.
4.5 Payment terms
All fees are charged in advance regularly according to your selected billing cycle. You authorize us to charge your designated payment method for all applicable fees. Prices are subject to change with 30 days' notice.
4.6 Communication responsibility
If you fail to receive our emails or any other communications initiated by our team or automated systems due to an error or issue on your end (such as incorrect email addresses, spam filters, or email server problems), we are not responsible for any consequences resulting from missed communications. It is your responsibility to ensure that your contact information is accurate and that you can receive our communications.
4.7 No refund policy
We provide a free trial period that we believe offers sufficient time to evaluate and understand our product in a practical environment. Because you have the opportunity to fully test our Services before committing to a paid plan, we do not offer refunds for any subscription fees once payment has been processed. We encourage all potential customers to take full advantage of the free trial to ensure our Services meet their needs.
5. Content ownership and licensing
5.1 Your content ownership and representations
When you provide content to Rayrift—including but not limited to website links, documents, files, text, Q&A pairs, or any other materials ("Your Content")—you represent and warrant that:
You own all rights to Your Content or have obtained all necessary permissions, licenses, and authorizations to use and provide such content to us
Your Content does not infringe upon any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets
You have the legal right to authorize us to access, scrape, crawl, process, and use Your Content as described in these Terms
You accept full responsibility for ensuring that Your Content is legally owned by you or that you are authorized to use it. Natiec Technology LLP is not liable for any copyright infringement, intellectual property violations, or legal disputes arising from Your Content. Any claims related to intellectual property infringement will be assumed to be the sole responsibility of the Customer.
5.2 License grant to Natiec Technology LLP
By providing Your Content to our platform, you grant Natiec Technology LLP a worldwide, non-exclusive, royalty-free license to:
Access, store, process, and analyze Your Content
Use web scraping and crawling technologies to acquire content from URLs you provide
Utilize Your Content to train, configure, and enable your AI chatbot to respond to end-user queries
Use conversation data, including AI-generated responses and the context provided to our AI models during interactions, to improve our Services and train our AI systems
You explicitly acknowledge and agree that when you provide website links, we will deploy web scraping and crawling tools to extract content from those URLs, and you grant us permission to do so.
5.3 Use of training data
Your Content will be stored and used to enable your AI chatbot to generate responses to end user queries. While we do not use Your Content in its entirety to directly train underlying AI models, we may use:
The context and information we provide to AI models during the response generation process
AI-generated replies and conversational interactions
Feedback data provided by end users
This data may be utilized by us or our third-party AI providers (such as large language model providers) to improve AI response quality, refine our Services, and enhance overall system performance.
6. Data storage, privacy, and retention
6.1 Data storage location
All customer data, including Your Content and conversation histories, is currently stored in the United States. We utilize trusted infrastructure providers including Amazon Web Services (AWS), Google Cloud Platform (GCP), and OpenAI for compute, storage, and AI processing capabilities. If our data residency practices change, we will notify affected customers via email in advance.
6.2 Conversation data retention
AI chat conversations between your chatbot and end users are retained for a period of six (6) months to meet compliance and operational requirements. After this retention period, conversations are marked for deletion and permanently removed within a short timeframe. During the retention period, conversation data is stored securely and access is strictly controlled by automated systems with minimal employee access.
6.3 Access to conversation data
We may access portions of conversation data or specific chats only in the following limited circumstances:
When an end user explicitly provides feedback on chat responses for quality monitoring purposes
To investigate reports of harmful, illegal, or inappropriate content
To comply with legal obligations or valid legal processes
All access is controlled by automated systems, logged, and limited to authorized personnel only.
6.4 Data deletion requests
Customers (but not end users directly) may request deletion of their data, including conversation histories and training content. Upon receiving a valid deletion request, we will mark the data for deletion from our systems and retain it for an additional thirty (30) days solely for compliance purposes before permanent deletion.
We will also raise deletion requests with our AI infrastructure providers; however, we cannot fully guarantee and are not liable for any data that may still be retained by our trusted third-party partners even after a deletion request has been raised. We make commercially reasonable efforts to ensure complete data deletion across all systems. End users who wish to request data deletion must submit their request through the Customer (our business partner), who may then raise the request with us.
6.5 GDPR and international data compliance
While we store data in the United States, we recognize that some customers may serve end users in jurisdictions with specific data protection requirements, including the European Union's General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and India's Digital Personal Data Protection Act (DPDP).
To assist you in meeting compliance requirements in your region, we display a terms and compliance banner within our AI chat interface. This End User Agreement explicitly outlines rules and regulations from the United States, California privacy rights, GDPR, and the DPDP Act of India, which we believe represent the privacy rights of most users around the globe. However, if you would like to cover any jurisdiction-specific requirements or additional disclosures, you may mention them on your application, internal system, or website where the chatbot is deployed. Any such additional policies or terms you display must also be respected by end users of your chatbot.
It is the Customer's responsibility to ensure that their use of our Services complies with all applicable data protection laws and regulations in their jurisdiction. If you believe that laws in your region restrict or prohibit the use of our Services, we advise against using our platform. Customers are responsible for providing appropriate privacy notices and obtaining necessary consents from their end users.
7. Acceptable use and prohibited activities
7.1 Permitted use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services and your AI chatbot's interactions with end users comply with all applicable laws and regulations.
7.2 Restricted industries and use cases
We provide Services to a broad range of industries; however, certain highly regulated markets—including healthcare, legal services, and financial advice—are served on a limited basis. If you operate in such industries, you represent and warrant that:
Your AI chatbot is used for ethical purposes
Interactions do not result in financial, mental, physical, or any other form of harm to end users
You have implemented appropriate disclaimers and safeguards
You comply with all industry-specific regulations
7.3 Healthcare and HIPAA compliance notice
Important: Our platform does not currently support HIPAA (Health Insurance Portability and Accountability Act) compliance. If you operate in the healthcare industry, you are strongly advised against uploading any real health-related data, medical records, or personally identifiable health information (PHI) of end users or patients to our platform. Uploading such information constitutes a violation of these Terms of Service. We are actively working toward achieving HIPAA compliance in the future, and we will notify customers when this capability becomes available.
7.4 Prohibited use cases
You may not use our Services if your business or use case involves:
Gambling, betting, or games of chance where money is involved
Trading platforms, financial speculation, or investment advice where outcomes are based on luck or chance
Any activity that is illegal, fraudulent, or violates the rights of others
Generation or dissemination of harmful, abusive, discriminatory, or explicit content
7.5 Harmful content and investigations
If your AI chatbot generates harmful, illegal, or inappropriate content, we will assume that such content originates from the training data you provided (e.g., documents, links, or other materials) and that the AI has been manipulated into generating such responses. Upon receiving user feedback or reports of harmful content, we will conduct a thorough internal investigation on a case-by-case basis. If we determine that your chatbot is generating harmful, illegal, or inappropriate content, we reserve the right to immediately suspend or terminate your account and Services.
8. Service availability and infrastructure
8.1 Commitment to reliability
We are committed to maintaining high availability and strive to achieve 99.99% uptime for our Services. To deliver this level of reliability, we partner with industry-leading infrastructure providers—including Amazon Web Services (AWS), Google Cloud Platform (GCP), and OpenAI—which power millions of applications worldwide and provide enterprise-grade performance, security, and scalability. This strategic partnership approach allows us to leverage best-in-class technology and ensure our Services benefit from continuous improvements and innovations in cloud infrastructure and AI capabilities.
8.2 Service continuity
While we work diligently to maintain continuous service availability, occasional maintenance windows, infrastructure updates, or unforeseen technical circumstances may result in brief service interruptions. We monitor our systems proactively and respond promptly to any issues to minimize impact on your operations.
9. AI response quality and feedback
AI-generated responses are designed to be helpful and contextually relevant based on the training data you provide. The quality and accuracy of your chatbot's responses are directly influenced by the comprehensiveness and quality of Your Content. While our AI technology is sophisticated and continuously improving, we encourage you to actively monitor your chatbot's performance and refine your training data to achieve optimal results.
To help you monitor and improve chatbot performance, we have built an automatic feedback collection mechanism into our platform. This feature is available to all users at no additional cost and is accessible through the application interface. End users can provide feedback on chatbot responses, and this feedback is visible to you for review and quality assurance purposes. We encourage you to actively monitor feedback and adjust your training data accordingly.

10. Customization and modifications
10.1 Widget customization
Our platform provides extensive customization options for the appearance and behavior of your embeddable chatbot widget, including theme, colors, corner rounding, branding, and personality settings. You may use these built-in customization features to ensure your chatbot aligns with your brand identity.
10.2 Feature requests
If you require additional customization options or interface modifications beyond what is currently available, you may contact our team at contact@rayrift.com to discuss potential feature enhancements. We welcome feedback and feature requests from our customers.
10.3 Embed code usage
When you embed our chatbot widget on your website, application, or internal system, you agree to use the embed code as provided without unauthorized modifications that could interfere with the functionality or security of the Services. You are responsible for properly implementing and maintaining the embed code on your properties.
11. Account management and cancellation
11.1 Customer-initiated cancellation
You may cancel your subscription at any time through your account dashboard or by contacting our support team at contact@rayrift.com. Upon cancellation, you will retain access to the Services until the end of your current billing period, after which your account will be downgraded or deactivated according to your plan terms. Any unused AI Chat credits from your monthly or yearly plan will not be refunded or carried forward after cancellation.
11.2 Account suspension or termination by Natiec Technology LLP
We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice, if:
You violate any provision of these Terms
Your use of the Services poses a risk to us, other customers, or third parties
We are required to do so by law or legal process
Your chatbot generates harmful, illegal, or prohibited content
You engage in fraudulent or deceptive practices
11.3 Effect of termination
Upon termination of your account:
Your AI chatbot will immediately cease responding to end user queries
You will lose access to your account, dashboard, and all associated data
It is your responsibility to remove the embed code from your website, application, or software to prevent the non-functional chatbot interface from appearing to your users
We are not responsible for any loss of data or disruption to your business resulting from termination
12. Geographic availability and jurisdictional compliance
12.1 Global availability
Our Services are available to customers worldwide. However, you are solely responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and industry-specific rules in your jurisdiction.
12.2 Restricted jurisdictions
If you are located in a jurisdiction where the use of AI chatbots, data processing, or any aspect of our Services is restricted or prohibited by law, we strongly advise against using our platform. By using our Services, you represent that your use is lawful in your jurisdiction. We do not encourage or condone use of our Services in violation of local laws.
12.3 Customer responsibility
You are responsible for understanding and complying with all regulations applicable to your industry and location, including but not limited to data protection laws (such as GDPR, CCPA, DPDP), consumer protection regulations, and sector-specific compliance requirements. We do not provide legal advice, and it is your responsibility to consult with qualified legal counsel regarding your compliance obligations.
13. Intellectual property rights
13.1 Natiec's proprietary rights
All rights, title, and interest in and to the Rayrift AI platform, including all software, algorithms, features, functionality, designs, trademarks, logos, and proprietary technology, are and will remain the exclusive property of Natiec Technology LLP and its licensors. These Terms do not grant you any ownership rights or intellectual property licenses except as explicitly stated.
13.2 Restrictions
You may not:
Copy, modify, distribute, sell, or lease any part of our Services
Reverse engineer, decompile, or attempt to extract the source code of our platform
Remove, alter, or obscure any proprietary notices or branding
Use our trademarks, logos, or branding without prior written consent
14. Limitation of liability
To the maximum extent permitted by law, Natiec Technology LLP, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total amount of fees paid by you to Natiec Technology LLP in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Natiec Technology LLP, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights, privacy rights, or data protection laws
Content you provide to the platform, including any copyright infringement or intellectual property violations
Your AI chatbot's interactions with end users
16. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
You acknowledge and understand that:
AI technology is continuously evolving and improving
Response quality depends on the training data and content you provide
While we strive for high performance, technology systems may occasionally experience unexpected behavior
It is your responsibility to monitor and quality-check your chatbot's interactions
17. Modifications to terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services.
18. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes, claims, or controversies arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Telangana, India.
You agree to first attempt to resolve any disputes informally by contacting us at contact@rayrift.com before initiating any formal legal proceedings.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20. Entire agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Natiec Technology LLP regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
