Rayrift Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rayrift Dashboard, APIs, and related services (collectively, the "Service"). Rayrift is operated by its parent company NATIEC TECHNOLOGY LLP ("Rayrift", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree, please refrain from using the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any Rayrift features, you confirm that you have read, understood, and agree to these Terms of Service and any referenced policies.

2. Description of Service

Rayrift provides an Retrieval-Augmented Generation (RAG) and memory retrieval platform designed to add long-term memory and data access capabilities to AI applications. The Service includes, but is not limited to:

  • Datasets and collections
  • Data ingestion and connectors
  • APIs and API keys
  • Query processing and retrieval pipelines
  • Usage metrics and request logging

3. Account Registration and Security

  • You must create an account to use the Service.
  • You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your credentials and API keys.
  • You are fully responsible for all activity under your account.
  • Authentication is handled via our authentication systems. You agree to follow reasonable security best practices.
  • You must immediately notify us of any unauthorized access or security breach.
  • It is your responsibility to ensure that your account is secure.
  • We provide two factor authentication (2FA) to our users to ensure the security of their accounts. You may enable it in your account settings.

4. Subscription, Billing, and Payments

  • Rayrift is avilable for free for a limited time in open beta.
  • We might charge for the service in the future.
  • Payments are processed securely via our payment processor, Checkout.com or a backup payment processer when Checkout.com is unavailable. Rayrift does not store full payment card details.
  • You may cancel your subscription at any time through the Rayrift Dashboard.
  • Unless required by law, fees are non-refundable.
  • Refund is only avilbale for the first 30 days of the subscription and only if the subscription was not used.
  • We reserve the right to change pricing with prior notice.

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal, harmful, or unauthorized purpose.
  • Interfere with or disrupt the integrity, performance, or availability of the Service.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Upload, store, or transmit unlawful, infringing, defamatory, or malicious content.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to build or train competing products.
  • Any other activity prohibited by local, federal, or international law(s).

We reserve the right to suspend or terminate access for violations of this section.

6. Data Security and Privacy

  • Rayrift implements reasonable administrative, technical, and organizational safeguards to protect User Data.
  • Data is encrypted in transit and at rest using industry-standard practices.
  • Rayrift does not use User Data to train foundation or custom models. If there is a change in this policy, we will notify you via email and update this policy.
  • Access to User Data is limited to authorized systems and personnel strictly for service delivery.

7. Data Retention and Deletion

  • User Data is retained for as long as your account remains active.
  • Upon account termination or deletion, User Data will be deleted within a reasonable retention window, except where required for legal, compliance, or backup purposes.
  • Backup copies may persist for a limited period but are not actively accessible.

  • By using the Service, you consent to our privacy policy.

8. Data Connectors and Third-Party Services

  • The Service may integrate with third-party services and data sources.
  • You are solely responsible for ensuring you have the legal rights and permissions to connect and process third-party data via connectors.
  • Rayrift is not responsible for third-party service availability, security, or data handling practices.
  • By using our services you acknlodged that any data you connect to the service is your own or you have the legal rights and permissions to connect and process it.

9. Intellectual Property

Rayrift Property

All rights, title, and interest in the Service, including software, APIs, documentation, and branding, are owned by Rayrift.

User Data

You retain full ownership of all data you upload or connect to the Service ("User Data").
You grant Rayrift a limited, non-exclusive license to host, store, process, and transmit User Data solely to provide the Service.

10. Usage Limits and Fair Use

  • Rayrift may impose rate limits, storage limits, or usage thresholds.
  • Excessive, abusive, or abnormal usage may result in throttling, suspension, or termination.
  • We reserve the right to enforce limits automatically to protect system stability.

11. Service Availability

  • The Service is provided on an "as available" basis.
  • We may perform maintenance or updates that temporarily affect availability.
  • While we strive to provide a reliable service, Rayrift does not guarantee uninterrupted or error-free operation due to the nature of AI services and the fact that we are not responsible for third-party service availability, security, or data handling practices.
  • We strive to provide 99.9% uptime, but we do not guarantee it. Service avilablity with historical data can be checked at Rayrift Status.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms
  • Your usage poses a security or operational risk
  • Required by law or regulation

Upon termination, your right to use the Service immediately ceases.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".
RAYRIFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYRIFT SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS
  • INTERRUPTION OR SYSTEM FAILURE

RAYRIFT’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PREVIOUS BILLING PERIOD.

15. Indemnification

You agree to indemnify and hold harmless Rayrift from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your User Data
  • Violation of these Terms or applicable laws

16. Export Controls and Sanctions

You agree not to use the Service in violation of applicable export control or sanctions laws. The Service may not be used in prohibited jurisdictions.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India only without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts of Telangana, India.

18. Changes to Terms

We may update these Terms from time to time. Changes become effective when posted. Continued use of the Service constitutes acceptance of the updated Terms.

19. Acceptance of these Terms

By continuing to use Rayrift, you acknowledge that you have read these Terms of Service and agree to be bound by them.
